Terms and Conditions
These Terms and Conditions constitute a legally binding agreement between you and CloudStation, a company registered in Dubai, United Arab Emirates. By creating an Account, accessing, or using any part of the Platform, you agree to be bound by these Terms.
1. Introduction and Acceptance
1.1 Agreement
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "You," or "Your") and CloudStation ("CloudStation," "Company," "We," "Us," or "Our"), a company registered in Dubai, United Arab Emirates.
1.2 Acceptance
By creating an Account, accessing, or using any part of the Platform, You agree to be bound by these Terms, the Privacy Policy, and all policies incorporated herein by reference. If You do not agree to these Terms, You must not access or use the Platform.
1.3 Authority
If You are accepting these Terms on behalf of a company, organization, or other legal entity, You represent and warrant that You have the authority to bind that entity to these Terms, in which case "You" and "Your" refer to that entity.
1.4 Modifications
CloudStation may modify these Terms at any time by posting the updated version on cloud-station.io. Material changes will be communicated via email or in-Platform notification at least thirty (30) days before taking effect. Your continued use of the Platform after the effective date of any modification constitutes acceptance of the modified Terms.
1.5 Entire Agreement
These Terms, together with the Privacy Policy, any applicable Data Processing Agreement, and any Order Form or Subscription Agreement executed between You and CloudStation, constitute the entire agreement.
2. Definitions
"Account" means the registered user account created by You to access and use the Platform.
"AI Agent" means an autonomous or semi-autonomous artificial intelligence entity created, configured, or deployed by a User on the Platform that can perform tasks, generate content, interact with End Users, or execute actions through connected services.
"AI Features" means all artificial intelligence and machine learning capabilities available through the Platform, including but not limited to AI Agents, AI-generated content, automated workflows, and intelligent recommendations.
"AI Model" means the third-party large language models (LLMs) used to power AI Features on the Platform, currently Anthropic Claude.
"AI Provider" means the third-party provider of the AI Model, currently Anthropic, PBC.
"Anthropic AUP" means Anthropic's Acceptable Use Policy, as amended from time to time, which governs permissible uses of the AI Model.
"Anthropic Terms" means Anthropic's Terms of Service and any related agreements, as amended from time to time.
"Content" means any text, images, data, code, files, or other materials submitted to, generated by, or made available through the Platform.
"Deployed Application" means any application, service, website, or workload that a User deploys, hosts, or runs using CloudStation's cloud deployment services.
"End User" means any individual who interacts with or is affected by a User's AI Agent, Deployed Application, or other services facilitated through the Platform.
"Input" means any data, prompts, instructions, or content provided to the Platform or AI Features by a User or End User.
"MCP Integration" means a connection between the Platform and an external service through the Model Context Protocol (MCP) or similar integration framework.
"Output" means any content, data, responses, or actions generated by AI Features in response to Input.
"Platform" means the CloudStation web application, APIs, cloud infrastructure, AI agent platform, and all related services accessible at cloud-station.io and its subdomains.
"Sub-Agent" means an AI Agent that is created, invoked, or controlled by another AI Agent within an orchestration workflow.
"Subscription" means a paid plan that grants access to specific features, resources, or usage tiers on the Platform.
"User Content" means any Content that a User submits, uploads, or transmits to the Platform, including Input, configuration data, and application code.
3. Service Description
3.1 Platform Overview
CloudStation provides a comprehensive platform that includes the following services:
- Cloud Deployment: Infrastructure provisioning, application hosting, and deployment management services.
- AI Agent Platform: Tools for creating, configuring, and deploying AI-powered agents that can interact with End Users and perform automated tasks.
- Agent Orchestration: Multi-agent coordination capabilities enabling complex workflows with multiple AI Agents working together.
- MCP Integration Services: Connectivity with external services and data sources through the Model Context Protocol and other integration frameworks.
- MCP Server Hosting: Hosting and management of MCP servers that enable AI Agents to interact with external tools and data sources.
3.2 Service Availability
CloudStation strives to maintain high availability of the Platform but does not guarantee uninterrupted or error-free service. The Platform may be subject to scheduled maintenance, unplanned outages, or performance degradation. CloudStation will make commercially reasonable efforts to notify Users of planned maintenance in advance.
3.3 Service Changes
CloudStation reserves the right to modify, update, or discontinue any feature or service at any time. Where a change materially reduces the functionality of a paid service, CloudStation will provide at least thirty (30) days' notice before the change takes effect.
3.4 Beta Features
CloudStation may offer certain features designated as "Beta," "Preview," or "Experimental." Such features are provided for evaluation purposes only and may be modified, suspended, or removed at any time without notice. BETA FEATURES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, AND CLOUDSTATION DISCLAIMS ALL LIABILITY ARISING FROM YOUR USE OF BETA FEATURES.
4. Account Terms
4.1 Registration
To access certain features of the Platform, You must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You must not create an Account using false or misleading information.
4.2 Eligibility
You must be at least eighteen (18) years old and capable of forming a binding contract under applicable law to create an Account and use the Platform. By creating an Account, You represent and warrant that You meet these eligibility requirements.
4.3 Account Security
You are responsible for maintaining the confidentiality of Your Account credentials and for all activities that occur under Your Account. You must immediately notify CloudStation of any unauthorized use of Your Account or any other breach of security. CloudStation will not be liable for any loss or damage arising from Your failure to comply with this obligation.
4.4 Account Restrictions
You may not share Your Account credentials with any third party, allow multiple individuals to use a single Account (unless authorized under Your Subscription plan), create multiple Accounts to circumvent usage limits or restrictions, or transfer Your Account to another party without CloudStation's prior written consent.
5. Acceptable Use Policy
5.1 General Conduct
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You are responsible for all Content You submit and all activity that occurs through Your Account, including actions taken by AI Agents You create or configure.
5.2 Prohibited Uses - General
You agree not to use the Platform to:
- Violate any applicable law, regulation, or ordinance, including but not limited to UAE Federal laws and regulations;
- Infringe on the intellectual property rights, privacy rights, or other rights of any third party;
- Transmit any malware, viruses, worms, or other malicious code;
- Engage in unauthorized access to any system, network, or data;
- Distribute unsolicited or unauthorized advertising, spam, or promotional materials;
- Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure;
- Attempt to reverse engineer, decompile, or disassemble any part of the Platform;
- Impersonate any person or entity or misrepresent Your affiliation with any person or entity;
- Collect or harvest personal information of other Users without their consent; or
- Facilitate or encourage any of the foregoing activities.
5.3 Prohibited Uses - AI Features
In addition to the general prohibitions above, You may not use AI Features to:
- 1. Weapons and Violence: Generate content related to the creation, manufacture, or use of chemical, biological, radiological, nuclear, or conventional weapons, explosives, or any content that promotes violence or terrorism.
- 2. Child Sexual Abuse Material (CSAM): Generate, distribute, or facilitate any content depicting or exploiting minors in a sexual manner, including synthetic or AI-generated imagery.
- 3. Election and Political Manipulation: Generate deceptive content intended to influence elections, suppress voter participation, or spread political disinformation.
- 4. Surveillance and Tracking: Conduct mass surveillance, facial recognition profiling, or unauthorized tracking of individuals.
- 5. Disinformation and Deception: Generate or disseminate false information, deepfakes, or synthetic media intended to deceive or mislead.
- 6. Harassment and Abuse: Engage in, facilitate, or promote harassment, bullying, intimidation, or abuse of any individual or group.
- 7. Unauthorized Practice: Provide medical, legal, financial, or other professional advice without appropriate disclaimers and human oversight, or in a manner that constitutes unauthorized practice of a licensed profession.
- 8. Discrimination: Make automated decisions that discriminate against individuals based on race, ethnicity, gender, religion, sexual orientation, disability, or other protected characteristics.
- 9. Privacy Violations: Process personal data in violation of applicable data protection laws, including GDPR, CCPA, or UAE data protection regulations.
- 10. Financial Fraud: Engage in or facilitate financial fraud, money laundering, or financing of illegal activities.
- 11. Malware and Exploits: Generate malicious code, exploit kits, hacking tools, or content designed to compromise computer systems or networks.
- 12. Spam and Manipulation: Generate automated spam, manipulate search engine rankings, or engage in astroturfing or artificial amplification campaigns.
- 13. Human Trafficking: Facilitate human trafficking, forced labor, or exploitation of vulnerable individuals.
- 14. Regulatory Evasion: Circumvent or evade regulatory requirements, sanctions, or export controls applicable to You or Your business.
5.4 High-Risk Use Cases
The following use cases are considered high-risk and require prior written approval from CloudStation:
- Medical diagnosis or treatment recommendations;
- Legal advice or document generation with binding effect;
- Financial advisory services or automated trading decisions;
- Autonomous operation of physical systems or machinery;
- Critical infrastructure management (energy, water, transportation);
- Law enforcement or judicial decision support; and
- Any use case where AI failure could result in physical harm, death, or significant financial loss.
5.5 UAE-Specific Content Obligations
As CloudStation is a UAE-registered company, You must not use the Platform to generate, distribute, or facilitate content that violates UAE Federal laws, including but not limited to: content that insults religions, criticizes the UAE government or its leadership, promotes extremism or hatred, violates public morals or decency standards, or violates any provisions of UAE Federal Decree-Law No. 34 of 2021 on Combating Rumours and Cybercrime.
5.6 Enforcement
CloudStation reserves the right to investigate and take appropriate action against any violation of this Acceptable Use Policy, including but not limited to removing or disabling access to Content, suspending or terminating Accounts, and reporting violations to law enforcement authorities. CloudStation may use automated and manual review processes to detect and prevent policy violations.
6. AI Agent Specific Terms
6.1 Agent Creation and Configuration
When You create or configure an AI Agent on the Platform, You are responsible for the agent's behavior, output, and interactions with End Users. You must ensure that Your agent's system prompts, configurations, and connected integrations comply with these Terms, the Acceptable Use Policy, and all applicable laws.
6.2 Agent Orchestration
If You use multi-agent orchestration features, You are responsible for the collective behavior and output of all AI Agents and Sub-Agents within Your orchestration workflows. You must ensure that the orchestration logic, agent interactions, and cumulative outputs comply with these Terms and all applicable laws.
6.3 Autonomous Agent Actions
AI Agents may take autonomous actions based on their configuration, including sending messages, making API calls, processing data, and interacting with external services. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE 100% RESPONSIBLE FOR ALL ACTIONS TAKEN BY YOUR AI AGENTS, WHETHER OR NOT SUCH ACTIONS WERE SPECIFICALLY INTENDED OR ANTICIPATED BY YOU. CloudStation is not liable for any consequences arising from autonomous agent actions, including but not limited to unintended communications, data processing, or third-party service interactions.
6.4 AI Disclosure Requirement
If Your AI Agent interacts directly with End Users (e.g., through chat, email, or messaging), You must clearly disclose to End Users that they are interacting with an AI system and not a human. You must not configure Your AI Agent to impersonate a real person or to conceal its nature as an AI system.
6.5 Output Accuracy
AI-generated outputs may contain errors, inaccuracies, or hallucinations. You are solely responsible for reviewing, verifying, and validating all AI outputs before relying on them or presenting them to End Users. CloudStation does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content.
7. Cloud Deployment Terms
7.1 Deployment Services
CloudStation provides infrastructure and tools for deploying, hosting, and managing applications. You are solely responsible for the content, functionality, and legality of Your Deployed Applications.
7.2 Resource Usage
Your use of cloud resources (compute, storage, bandwidth, and other infrastructure) is subject to the limits and quotas associated with Your Subscription plan. You agree not to exceed Your allocated resources without upgrading Your plan or obtaining prior authorization from CloudStation. Excessive or abusive resource usage may result in throttling, suspension, or additional charges.
7.3 Data Responsibility
You are solely responsible for all data stored on or transmitted through Your Deployed Applications. You must ensure that Your data handling practices comply with all applicable data protection and privacy laws, including but not limited to GDPR, CCPA, and UAE data protection regulations.
7.4 Backups
CloudStation may provide backup functionality as part of certain Subscription plans. However, You are ultimately responsible for maintaining Your own backups of all data and configurations. CloudStation is not liable for any data loss, corruption, or unavailability, regardless of the cause.
7.5 Prohibited Deployments
You may not deploy applications that: host or distribute illegal content; operate as open proxies or relay services; engage in cryptocurrency mining without prior authorization; consume resources in a manner designed to circumvent billing or usage limits; or violate any provision of the Acceptable Use Policy.
8. Third-Party Integration Terms
8.1 MCP Integrations
The Platform enables connections with external services through MCP Integrations. When You connect an MCP Integration, You authorize the Platform and Your AI Agents to access and interact with the connected service on Your behalf, subject to the permissions You configure.
8.2 Third-Party Terms
Your use of any third-party service through the Platform is subject to the terms and conditions of that third-party service. You are responsible for complying with all applicable third-party terms, and CloudStation is not a party to any agreement between You and a third-party service provider.
8.3 Data Flow Through Integrations
When data flows through MCP Integrations, it may be processed by both CloudStation and the third-party service. You are responsible for understanding the data handling practices of each connected service and for ensuring that Your use of integrations complies with applicable data protection laws.
8.4 WhatsApp and Messaging Integrations
CloudStation offers messaging integrations, including WhatsApp integration through the Evolution API, which is an unofficial, open-source API and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or WhatsApp LLC.
YOU ACKNOWLEDGE AND AGREE THAT THE USE OF UNOFFICIAL WHATSAPP APIs MAY VIOLATE WHATSAPP'S TERMS OF SERVICE AND COULD RESULT IN YOUR WHATSAPP ACCOUNT BEING BANNED OR RESTRICTED. CLOUDSTATION IS NOT LIABLE FOR ANY ACCOUNT BANS, RESTRICTIONS, OR CONSEQUENCES ARISING FROM YOUR USE OF MESSAGING INTEGRATIONS.
THE EVOLUTION API IS PROVIDED BY THIRD-PARTY DEVELOPERS AND IS USED AT YOUR OWN RISK. CLOUDSTATION MAKES NO WARRANTIES REGARDING THE RELIABILITY, AVAILABILITY, OR LEGALITY OF THE EVOLUTION API IN YOUR JURISDICTION.
8.5 MCP Server Hosting
CloudStation may host MCP servers that enable AI Agents to interact with external tools and data sources. You are responsible for the configuration, security, and proper use of any MCP servers associated with Your Account. CloudStation reserves the right to disable or remove MCP servers that violate these Terms or pose a security risk.
8.6 Integration Availability
CLOUDSTATION DOES NOT GUARANTEE THE CONTINUED AVAILABILITY OF ANY THIRD-PARTY INTEGRATION. INTEGRATIONS MAY BE MODIFIED, DEPRECATED, OR REMOVED AT ANY TIME DUE TO CHANGES BY THIRD-PARTY PROVIDERS OR AT CLOUDSTATION'S DISCRETION.
9. Intellectual Property
9.1 CloudStation IP
The Platform, including its software, design, architecture, branding, documentation, and all proprietary technology, is the intellectual property of CloudStation and is protected by applicable copyright, trademark, patent, and trade secret laws. Nothing in these Terms grants You any right, title, or interest in CloudStation's intellectual property except for the limited right to use the Platform in accordance with these Terms.
9.2 User Content
You retain all rights to Your User Content. By submitting User Content to the Platform, You grant CloudStation a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Your User Content solely for the purpose of providing and improving the Platform services. This license terminates when You delete Your User Content or close Your Account, except for content that has been shared with other Users or incorporated into AI training data with Your consent.
9.3 AI Outputs
As between You and CloudStation, You own the Outputs generated by AI Features in response to Your Inputs, subject to the following: (a) identical or similar Outputs may be generated for other Users; (b) CloudStation does not guarantee that Outputs are original or non-infringing; (c) You are responsible for ensuring that Your use of Outputs does not infringe third-party rights; and (d) ownership of Outputs may be subject to the terms and conditions of the AI Provider.
9.4 Feedback
If You provide feedback, suggestions, or ideas about the Platform ("Feedback"), You grant CloudStation an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Platform without any obligation to You.
9.5 Open Source
Certain components of the Platform may incorporate open-source software. The use of such components is subject to the applicable open-source licenses. Nothing in these Terms restricts or limits Your rights under the terms of any applicable open-source license.
9.6 Intellectual Property Complaints
If You believe that any Content on the Platform infringes Your intellectual property rights, please contact CloudStation at [email protected] with a detailed description of the alleged infringement.
10. Billing and Payment
10.1 Pricing
Current pricing for the Platform is available on the CloudStation website. All prices are stated in US Dollars unless otherwise specified. Pricing is subject to change in accordance with Section 10.7.
10.2 Subscription Plans
CloudStation offers various Subscription plans with different feature sets, usage limits, and pricing tiers. You agree to be bound by the terms of the Subscription plan You select, including its usage limits and restrictions. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
10.3 Payment Methods
You must provide a valid payment method to subscribe to a paid plan. You authorize CloudStation to charge Your payment method for all fees incurred under Your Account. You are responsible for keeping Your payment information current and accurate.
10.4 Taxes
All fees are exclusive of taxes unless stated otherwise. You are responsible for paying all applicable taxes, including VAT, sales tax, and any other taxes imposed by Your jurisdiction. CloudStation will collect taxes where required by law.
10.5 Late Payment
If payment is not received by the due date, CloudStation may: charge interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding amount; suspend Your access to paid features; or terminate Your Account after providing reasonable notice.
10.6 Refunds
All fees are non-refundable except as expressly provided in these Terms or as required by applicable law. CloudStation may, at its sole discretion, offer credits or refunds on a case-by-case basis.
10.7 Price Changes
CloudStation may change its pricing at any time. Price increases for existing Subscription plans will be communicated at least thirty (30) days before taking effect. Your continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.
10.8 Free Tier
CloudStation may offer a free tier with limited features and usage. The free tier is provided at CloudStation's sole discretion and may be modified or discontinued at any time without notice. Free tier Users are subject to all provisions of these Terms.
11. Platform Intermediary Status
11.1 CloudStation Is Not an AI Provider
CLOUDSTATION IS NOT THE DEVELOPER OR PROVIDER OF THE AI MODELS USED ON THE PLATFORM. CLOUDSTATION IS A PLATFORM THAT INTEGRATES THIRD-PARTY AI MODELS (CURRENTLY ANTHROPIC CLAUDE) TO PROVIDE AI FEATURES TO USERS.
11.2 Intermediary Role
CloudStation acts as an intermediary between Users and the AI Provider. CloudStation provides the platform infrastructure, user interface, agent management tools, and integration layer, while the underlying AI capabilities are provided by the AI Provider. The quality, accuracy, and behavior of AI outputs are primarily determined by the AI Model and are subject to the AI Provider's terms and limitations.
11.3 No AI Provider Liability
CloudStation is not liable for any acts, omissions, errors, limitations, or failures of the AI Provider or its AI Models. This includes but is not limited to: inaccurate or harmful outputs, changes to model capabilities, service disruptions by the AI Provider, and any restrictions or policies imposed by the AI Provider.
12. Compliance Pass-Through
12.1 Acceptance of Anthropic Terms
By using AI Features on the Platform, You agree to be bound by the Anthropic Terms and the Anthropic AUP as they apply to Your use of the AI Model through the Platform. CloudStation reserves the right to enforce these terms on behalf of or in coordination with Anthropic.
12.2 User Responsibility for Compliance
You are solely responsible for ensuring that Your use of AI Features complies with the Anthropic Terms, the Anthropic AUP, and all applicable laws and regulations. CloudStation does not assume responsibility for monitoring Your compliance with third-party terms.
12.3 Anthropic Restrictions and Bans
If Anthropic restricts, suspends, or terminates access to the AI Model due to Your use or the use by Your AI Agents, You are solely responsible for the consequences. CLOUDSTATION IS NOT LIABLE FOR ANY LOSS, DAMAGE, OR DISRUPTION CAUSED BY RESTRICTIONS IMPOSED BY THE AI PROVIDER, WHETHER SUCH RESTRICTIONS AFFECT YOUR ACCOUNT, YOUR END USERS, OR OTHER CLOUDSTATION USERS.
12.4 Geographic Restrictions
The AI Provider may impose geographic restrictions on the use of AI Models. You are responsible for ensuring that Your use of AI Features complies with any geographic restrictions imposed by the AI Provider, including restrictions on access from sanctioned countries or regions.
12.5 No Competing Use
You may not use the Platform or its AI Features to develop, train, or improve competing AI models or services, unless expressly permitted under the Anthropic Terms.
13. Warranty Disclaimer
13.1 AS IS
THE PLATFORM AND ALL SERVICES, FEATURES, CONTENT, AND AI CAPABILITIES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
13.2 Disclaimer of Specific Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUDSTATION EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- WARRANTIES THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE;
- WARRANTIES THAT DEFECTS WILL BE CORRECTED;
- WARRANTIES THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE AVAILABILITY OR PERFORMANCE OF THIRD-PARTY INTEGRATIONS;
- WARRANTIES REGARDING THE CONTINUED AVAILABILITY OF ANY SPECIFIC AI MODEL OR AI PROVIDER; AND
- WARRANTIES REGARDING THE SECURITY OR INTEGRITY OF DATA STORED ON OR TRANSMITTED THROUGH THE PLATFORM.
13.3 AI-Specific Disclaimer
CLOUDSTATION DOES NOT WARRANT THAT AI FEATURES WILL MEET YOUR REQUIREMENTS, THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE, OR THAT AI AGENTS WILL BEHAVE AS EXPECTED IN ALL CIRCUMSTANCES. AI TECHNOLOGY IS INHERENTLY PROBABILISTIC AND MAY PRODUCE UNEXPECTED, INCORRECT, OR HARMFUL OUTPUTS.
13.4 AI Model Changes
THE AI PROVIDER MAY UPDATE, MODIFY, OR REPLACE AI MODELS AT ANY TIME, WHICH MAY AFFECT THE BEHAVIOR, QUALITY, OR CAPABILITIES OF AI FEATURES. CLOUDSTATION DOES NOT WARRANT THAT AI FEATURES WILL REMAIN CONSISTENT OVER TIME.
13.5 Applicability
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above disclaimers apply to the maximum extent permitted by applicable law.
14. Limitation of Liability
14.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLOUDSTATION, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, BUSINESS, OR ANTICIPATED SAVINGS;
- LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- DAMAGES ARISING FROM AI OUTPUTS, INCLUDING INACCURATE, MISLEADING, OR HARMFUL CONTENT;
- DAMAGES ARISING FROM AUTONOMOUS AGENT ACTIONS;
- DAMAGES ARISING FROM THIRD-PARTY INTEGRATION FAILURES;
- DAMAGES ARISING FROM AI PROVIDER DISRUPTIONS OR CHANGES;
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT; OR
- DAMAGES ARISING FROM ANY CAUSE BEYOND CLOUDSTATION'S REASONABLE CONTROL.
14.2 Liability Cap
IN NO EVENT SHALL CLOUDSTATION'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO CLOUDSTATION DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100.00).
14.3 AI-Specific Liability Clarification
Without limiting the foregoing, CloudStation is not liable for any consequences arising from: reliance on AI-generated content without independent verification; decisions made based on AI outputs; interactions between Your AI Agents and End Users; actions taken by AI Agents through connected integrations; or any failure of AI Features to perform as expected.
14.4 AI Provider Disruption
CloudStation is not liable for any disruption, degradation, or unavailability of AI Features caused by the AI Provider, including but not limited to: service outages, model changes, rate limiting, policy changes, or termination of service by the AI Provider.
14.5 Essential Basis
You acknowledge that the limitations of liability set forth in this Section are an essential basis of the bargain between You and CloudStation, and that CloudStation would not provide the Platform without these limitations.
14.6 Survival
The limitations and exclusions in this Section shall survive termination or expiration of these Terms and shall apply regardless of the theory of liability, whether in contract, tort, strict liability, or otherwise.
15. Indemnification
15.1 User Indemnification
You agree to indemnify, defend, and hold harmless CloudStation, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform;
- Your violation of these Terms;
- Your violation of any applicable law, regulation, or third-party right;
- Your User Content, including any claims that Your User Content infringes third-party rights;
- The actions, outputs, or behavior of Your AI Agents;
- Interactions between Your AI Agents and End Users;
- Your Deployed Applications and their content, functionality, and impact;
- Your use of MCP Integrations or third-party services through the Platform;
- Claims by End Users arising from Your AI Agents or Deployed Applications;
- Your violation of the Anthropic Terms or the Anthropic AUP;
- Your failure to comply with AI disclosure requirements;
- Any unauthorized use of Your Account; and
- Any use of messaging integrations, including WhatsApp, in violation of the applicable messaging platform's terms of service.
15.2 Procedure
CloudStation will: (a) promptly notify You of any claim subject to indemnification; (b) provide You with reasonable cooperation in the defense of such claim at Your expense; and (c) grant You sole control of the defense and settlement of such claim, provided that You may not settle any claim without CloudStation's prior written consent if the settlement would impose any obligation on CloudStation or admit fault on behalf of CloudStation.
16. Dispute Resolution
16.1 Governing Law
These Terms and any disputes arising out of or relating to these Terms or Your use of the Platform shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict of law principles.
16.2 Informal Resolution
Before initiating any formal dispute resolution proceeding, You agree to first contact CloudStation at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved without formal proceedings.
16.3 Arbitration
If the dispute cannot be resolved informally, either party may initiate binding arbitration administered by the Dubai International Arbitration Centre (DIAC) under the following conditions:
- The arbitration shall be conducted in accordance with the DIAC Arbitration Rules in force at the time of the arbitration;
- The arbitration shall be conducted by a single arbitrator appointed in accordance with the DIAC Rules;
- The seat of arbitration shall be Dubai, UAE;
- The language of the arbitration shall be English; and
- The arbitrator's decision shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.
16.4 Dubai Courts
For matters not subject to arbitration or for the enforcement of arbitral awards, the courts of Dubai, UAE shall have exclusive jurisdiction.
16.5 DIFC Courts
If CloudStation is or becomes registered in the Dubai International Financial Centre (DIFC), disputes may alternatively be submitted to the DIFC Courts, which shall have non-exclusive jurisdiction.
16.6 Injunctive Relief
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
16.7 Class Action Waiver
YOU AND CLOUDSTATION AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.
16.8 Limitation Period
ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CLAIM IS PERMANENTLY BARRED.
17. Termination and Suspension
17.1 Termination by User
You may terminate Your Account at any time by contacting CloudStation or using the Account settings. Upon termination, Your right to use the Platform will immediately cease. You remain responsible for any outstanding fees incurred prior to termination.
17.2 Termination by CloudStation
CloudStation may terminate or suspend Your Account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or the Acceptable Use Policy;
- Non-payment of fees;
- Violation of the Anthropic Terms or the Anthropic AUP;
- Conduct that CloudStation reasonably believes is harmful to other Users, third parties, or the Platform;
- Request by law enforcement or government authorities; or
- Discontinuation of the Platform or any material portion thereof.
17.3 Suspension
CloudStation may suspend Your access to the Platform or specific features at any time if:
- CloudStation reasonably suspects a violation of these Terms;
- Your Account poses a security risk to the Platform or other Users;
- Required by law enforcement or government order;
- Your AI Agents are behaving in a manner that is harmful or potentially harmful to End Users or third parties;
- Your resource usage exceeds reasonable limits or threatens Platform stability; or
- The AI Provider suspends or restricts service due to Your usage.
17.4 Effect of Termination
Upon termination:
- Your right to access and use the Platform immediately ceases;
- All AI Agents and Deployed Applications associated with Your Account will be deactivated;
- CloudStation may delete Your data and Content after a reasonable retention period (typically thirty (30) days);
- You remain liable for any fees incurred prior to termination; and
- Provisions that by their nature should survive termination shall continue to apply, including Sections 9, 13, 14, 15, 16, and 19.
17.5 No Liability for Termination
CloudStation shall not be liable to You or any third party for any termination or suspension of Your Account or access to the Platform.
18. AI Platform Special Clauses
18.1 Hallucination Disclaimer
AI Models are known to produce outputs that may appear factual but are actually incorrect, fabricated, or misleading ("hallucinations"). You acknowledge this inherent limitation and agree that CloudStation is not responsible for any harm, loss, or damage resulting from reliance on AI outputs that contain hallucinations.
18.2 Autonomous Agent Risk Acknowledgment
By deploying AI Agents on the Platform, You acknowledge and accept the following risks:
- AI Agents may take actions that are unexpected, unintended, or contrary to Your instructions;
- AI Agents may generate content that is inaccurate, offensive, or harmful;
- Multi-agent orchestration may produce emergent behaviors that are difficult to predict or control;
- AI Agents interacting with external services through MCP Integrations may cause unintended consequences in those services; and
- The quality and reliability of AI Agent behavior may vary over time due to changes in the underlying AI Model.
18.3 Kill Switch Requirement
CloudStation reserves the right to implement a "kill switch" capability that allows CloudStation to immediately disable any AI Agent or orchestration workflow on the Platform. You acknowledge that CloudStation may exercise this capability at any time, without prior notice, if CloudStation reasonably believes that an AI Agent poses a risk to Users, End Users, third parties, or the Platform.
18.4 Cooperation with Authorities
CloudStation may cooperate with law enforcement, regulatory authorities, or AI safety organizations in investigating potential misuse of AI Features. You agree that CloudStation may disclose information about Your Account, AI Agents, and usage patterns as required by law or as CloudStation reasonably determines is necessary to protect public safety.
18.5 AI Provider Dependency
You acknowledge that the Platform's AI Features are dependent on the AI Provider and that:
- The AI Provider may change, update, or discontinue AI Models at any time;
- AI Model changes may affect the behavior, quality, or capabilities of Your AI Agents;
- CloudStation may switch AI Providers or add additional AI Providers at its discretion; and
- CloudStation does not guarantee any specific level of AI performance or availability.
18.6 End User Complaints
You are solely responsible for handling complaints from End Users regarding Your AI Agents. You agree to:
- Provide End Users with a clear mechanism to report issues or file complaints;
- Respond to End User complaints in a timely and professional manner;
- Maintain records of End User complaints and Your responses; and
- Cooperate with CloudStation in investigating and resolving complaints that are escalated to CloudStation.
19. General Provisions
19.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
19.2 Waiver
The failure of CloudStation to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of CloudStation.
19.3 Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without CloudStation's prior written consent. CloudStation may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
19.4 Notices
CloudStation may provide notices to You via email, in-Platform notification, or posting on the CloudStation website. Notices to CloudStation must be sent to [email protected]. Notices are deemed received when delivered by email, when posted to the Platform, or three (3) business days after being sent by registered mail.
19.5 Force Majeure
CloudStation shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, sanctions, power outages, internet disruptions, cyberattacks, or failures of third-party service providers, including the AI Provider.
19.6 Relationship of the Parties
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between You and CloudStation. You are an independent contractor and have no authority to bind CloudStation in any way.
19.7 Third-Party Beneficiaries
These Terms do not confer any rights or remedies upon any person or entity other than the parties hereto, except that the AI Provider may be a third-party beneficiary of provisions related to the use of AI Models and compliance with AI Provider terms.
19.8 Headings
The headings in these Terms are for convenience only and do not affect the interpretation of these Terms.
19.9 Language
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any inconsistency.
19.10 Electronic Agreement
You consent to receiving these Terms and all related communications electronically. You agree that all terms and conditions, agreements, notices, disclosures, and other communications that CloudStation provides to You electronically satisfy any legal requirement that such communications be in writing.
19.11 Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations, including the US Export Administration Regulations, US sanctions laws administered by OFAC, and any applicable UAE export control laws. You may not access or use the Platform from any country or region that is subject to comprehensive US or UAE sanctions.
19.12 Cooperation with Law Enforcement
CloudStation will cooperate with law enforcement authorities when required by law or when CloudStation reasonably believes that cooperation is necessary to prevent harm to individuals, protect property, or ensure public safety. This may include disclosing User data, Account information, and usage records to authorized authorities.
